A sponsor data room should organize diligence materials by workflow so investors and advisors can move through the deal efficiently.1,2

A strong data room is not a file dump. It should reflect the way a transaction actually gets diligenced, signed, financed, and closed. That usually means clean sections for financials, legal documents, tax records, commercial diligence, customer materials, HR, operations, financing, governance, and closing deliverables. The better the structure, the easier it is for investors, lenders, counsel, and advisors to find evidence and resolve open questions.1,2
